Terms of Service

Golden Catalyst LLC (“Golden Catalyst,” “we,” “us,” or “our”) operates Ignite™ Platform, BehaviorStack™, and various software applications, websites, AI systems, tools, products, services, and related technologies, including but not limited to HeartSpark™, MarketSpark™, and future applications, platforms, digital services, APIs, integrations, or technologies developed, owned, operated, licensed, or maintained by Golden Catalyst LLC (collectively, the “Services”).

Ignite™ Platform serves as the ecosystem infrastructure layer for various Golden Catalyst LLC Services and may provide centralized authentication systems, AI orchestration services, behavioral intelligence systems, APIs, integrations, communication frameworks, analytics systems, automation technologies, and shared account services across multiple compatible applications and platforms.

The Services may evolve over time and may include new applications, AI systems, features, integrations, products, or technologies introduced by Golden Catalyst LLC. These Terms apply to all current and future Services unless otherwise stated.

All Services are provided by Golden Catalyst LLC, a Florida limited liability company.

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not access or use the Services.

2. Eligibility

You must be at least 18 years old, possess the legal authority to enter into binding agreements, and comply with all applicable laws and regulations. By using the Services, you represent and warrant that you satisfy these requirements.

3. Accounts & Authentication

Certain Services may require account registration. Users are responsible for maintaining confidentiality of credentials, safeguarding authentication information, all activity occurring under their accounts, and maintaining accurate account information.

Ignite™ Platform may utilize centralized authentication or unified account systems across multiple compatible Services operated by Golden Catalyst LLC. Users may access multiple Services using shared credentials where supported. We reserve the right to suspend, restrict, or terminate accounts at our discretion.

4. Acceptable Use

Users agree not to:

• violate laws or regulations,
• harass, abuse, threaten, or harm others,
• upload illegal or infringing content,
• generate harmful or deceptive content,
• reverse engineer systems or scrape data or models,
• overload infrastructure or bypass security measures,
• impersonate individuals or entities,
• or misuse AI-generated outputs.

Unauthorized use may result in suspension, termination, or legal action.

5. AI-Generated Content

The Services may generate communication suggestions, behavioral insights, predictions, recommendations, automation outputs, and AI-assisted content. AI-generated outputs may contain inaccuracies, may produce unexpected results, may vary based on inputs, and are probabilistic in nature.

Users are solely responsible for evaluating generated outputs, verifying information, exercising independent judgment, and deciding whether to use generated content. AI-generated outputs do not constitute legal advice, financial advice, investment advice, medical advice, psychological counseling, relationship therapy, or professional consulting services. Golden Catalyst LLC makes no guarantees regarding outcomes, predictive accuracy, communication success, financial performance, behavioral predictions, or decision-making results.

6. Behavioral Intelligence Systems

BehaviorStack™ is a proprietary behavioral intelligence framework operated by Golden Catalyst LLC. BehaviorStack™ technologies may analyze communication patterns, engagement signals, contextual inputs, behavioral tendencies, interaction styles, and usage patterns to improve personalization, communication assistance, and decision-support experiences. These systems are intended to enhance user experiences and improve probabilistic relevance, not to manipulate users or guarantee outcomes.

7. Experimental & Beta Features

Certain Services or features may be released as beta systems, preview functionality, experimental tools, or early-access features. Experimental features may change without notice, experience interruptions, become unavailable, or operate inconsistently. Users acknowledge that experimental features may not function as intended.

8. Payments & Subscriptions

Certain Services may require subscriptions, credits, usage-based billing, or paid access. All purchases are final unless otherwise stated. Credits have no cash value, are non-transferable, and may expire. Pricing may change at any time with reasonable notice.

9. Intellectual Property

All platform technology, software, AI systems, behavioral intelligence frameworks, branding, designs, infrastructure, algorithms, APIs, automation systems, and related intellectual property remain the property of Golden Catalyst LLC or its licensors. BehaviorStack™ and Ignite™ are trademarks of Golden Catalyst LLC. Users receive only a limited, revocable, non-transferable license to use the Services in accordance with these Terms.

10. User Content

Users retain ownership of submitted content. By using the Services, users grant Golden Catalyst LLC a limited, non-exclusive, worldwide license to process, transmit, analyze, store, and utilize submitted content solely for purposes of operating, maintaining, improving, securing, and providing the Services.

11. Third-Party Services

The Services may integrate with cloud providers, analytics vendors, payment processors, AI infrastructure providers, APIs, communication systems, and future third-party technologies. Golden Catalyst LLC is not responsible for third-party outages, external service interruptions, third-party data practices, or independent actions of external providers.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLDEN CATALYST LLC DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND AVAILABILITY. We do not guarantee uninterrupted or error-free operation of the Services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLDEN CATALYST LLC SHALL NOT BE LIABLE FOR INDIRECT DAMAGES, INCIDENTAL DAMAGES, CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR RELIANCE ON AI-GENERATED OUTPUTS. Use of the Services is at the user’s own discretion and risk.

14. Indemnification

Users agree to indemnify, defend, and hold harmless Golden Catalyst LLC from claims, damages, liabilities, losses, costs, and expenses arising from misuse of the Services, violations of these Terms, user-generated content, violations of law, or infringement of third-party rights.

15. Arbitration & Governing Law

These Terms are governed by the laws of the State of Florida, United States. Any disputes arising from the Services shall be resolved through binding arbitration in Florida, except where prohibited by law. Users waive participation in class-action lawsuits or class-wide arbitration.

16. Termination

We may suspend, restrict, or terminate access to the Services at any time, with or without notice, for any reason including violations of these Terms, security concerns, operational risks, or misuse of the Services.

17. Future Services

The Services may evolve over time and may include future applications, APIs, AI systems, behavioral technologies, automation tools, integrations, communication systems, or additional digital services introduced by Golden Catalyst LLC. These Terms apply to all current and future Services unless otherwise stated.

18. Changes to These Terms

We may update these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms.
